IMPORTANT NOTICE – PLEASE READ      (and attend!)
Carlops Village Centre – Extraordinary General Meeting
 
Wednesday 10th March, 7.30pm (by Zoom)
As you may be aware, Carlops Village Centre (the Hall) is in the process of transferring from being a charity to a Scottish Charitable Incorporated Organisation (SCIO).
In order to do this we need to make a number of changes to the CVC constitution, which in turn requires us to call an EGM in order to present the changes and request the agreement of at least two thirds of the membership attending. As with an AGM, we need to have a minimum of 15 members in attendance to be quorate. A revised version of the proposed constitution is now available to download and view: click here
The objectives of the organisation remain the same, to promote and enhance the cultural, social and educational life of those in the community.
The powers of the organisation also remain broadly the same, with the addition of clauses to permit the SCIO to register an interest in land beyond that currently held by CVC and allow it to be a future vehicle for Community Right to Buy.
The SCIO is a legal entity and will bear the financial liability currently held by the Trustees.
Changes to the structure of the organisation are as follows:
Members – become Ordinary Members, there can also be non-voting Junior and Associate Members.
The members of CVC Management Committee – become Charity Trustees, these will be elected, and may also be appointed or co-opted.
The Management Committee – becomes the Board of Charity Trustees.
In line with local government elections, members can vote from the age of 16.
The parts of the new constitution dealing with office bearers, meetings, voting, trustee duties and finances are all broadly the same as currently, but with greater detail and formality. We are not proposing to change the numbers needed to form a quorum or committee (‘Board’), though voting by proxy will become possible.
It will be necessary for everyone wishing to be a member to make a written application and their membership details kept on record, the new Board would organise this.
